Terms and Conditions

Effective Date: March 1, 2026

These Terms and Conditions ("Terms") govern your access to and use of the Flexspace platform, operated by Wellspace NW LLC ("Flexspace," "we," "us," or "our"), accessible at flexspace.app and through space-specific portals such as [spacename].flexspace.app.

By creating an account or using the Flexspace platform, you agree to these Terms. If you do not agree, do not use the platform.

Two Types of Users

The Flexspace platform serves two distinct user types, each with different roles and responsibilities:

  • Space Owners — individuals or businesses that create and manage rental spaces, define membership tiers, configure access rules, and administer member accounts through the platform.
  • Renters (Members) — individuals who create accounts, join a space, and book rental time through the platform.

Certain provisions below apply specifically to one user type and are labeled accordingly. All users are subject to the general provisions of these Terms.

Acceptance of Terms

By accessing or using the Flexspace platform, you confirm that you are at least 18 years of age, that you have the legal authority to enter into these Terms, and that you agree to be bound by them. If you are using the platform on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

Account Registration and Security

Access to the Flexspace platform requires account registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@flexspace.app if you become aware of any unauthorized use of your account.

Flexspace reserves the right to suspend or terminate accounts that violate these Terms or that are associated with fraudulent or abusive activity.

Space Owner Responsibilities

Space owners are responsible for the configuration and operation of their spaces on the Flexspace platform. This includes setting accurate availability, pricing, membership terms, and access rules. Space owners are also responsible for ensuring that their use of the platform and their management of member data complies with applicable laws, including any applicable privacy regulations.

Space owners acknowledge that renter data accessible through the platform — including contact information, booking history, and access activity — may only be used for the purpose of administering their rental space. Use of renter data for any other purpose is prohibited.

Renter Responsibilities

Renters are responsible for using booked spaces in accordance with the rules set by the space owner. Renters agree not to share access credentials, allow unauthorized individuals into reserved spaces, or use spaces for any unlawful purpose.

Renters acknowledge that space owners have visibility into booking history, access activity, and other account information as described in our Privacy Policy.

Payments and Billing

All payments processed through the Flexspace platform are handled by Stripe. By submitting payment information, you agree to Stripe's terms of service. Flexspace does not store credit card numbers or full payment account details on its servers.

Membership fees, booking charges, and add-on purchases are charged according to the pricing established by the space owner for their specific space. Flexspace is not responsible for pricing decisions made by space owners.

All fees are non-refundable unless otherwise stated by the space owner or required by applicable law.

Memberships and Cancellations

Membership terms, including pricing, access levels, and cancellation policies, are set by the individual space owner. Renters should review the membership terms for their specific space before purchasing. Flexspace is not a party to the membership agreement between a space owner and their members.

Permitted Use

You agree to use the Flexspace platform only for its intended purpose and in compliance with all applicable laws and regulations. You agree not to:

  • Use the platform for any unlawful, fraudulent, or harmful purpose
  • Attempt to gain unauthorized access to any part of the platform or to another user's account
  • Interfere with or disrupt the platform's infrastructure or functionality
  • Reverse engineer, decompile, or attempt to extract the source code of the platform
  • Use the platform to transmit spam, malware, or any content that is harmful, offensive, or violates the rights of others
  • Resell or sublicense access to the platform without written authorization from Flexspace

Third-Party Integrations

The Flexspace platform integrates with third-party services including Stripe for payment processing and door lock hardware providers for access control. These integrations are provided for convenience. Flexspace is not responsible for the availability, accuracy, or performance of third-party services, and your use of those services is governed by their respective terms and policies.

The platform may also contain links to external websites. Flexspace does not endorse and is not responsible for the content or practices of any linked third-party sites.

Intellectual Property

All content, software, design, and functionality of the Flexspace platform — including but not limited to text, graphics, logos, and code — is the property of Wellspace NW LLC and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the platform without our prior written consent.

Space owners retain ownership of content they create within the platform, including space listings, membership configurations, and messaging. By submitting content to the platform, you grant Flexspace a limited license to display and process that content as necessary to deliver the service.

Disclaimers

The Flexspace platform is provided on an "as is" and "as available" basis. Flexspace makes no warranties, express or implied, regarding the platform's reliability, availability, accuracy, or fitness for a particular purpose. We do not warrant that the platform will be uninterrupted, error-free, or free from harmful components.

Flexspace is a software platform. We are not a party to the rental transactions that occur between space owners and renters, and we make no representations about the quality, safety, or legality of any space listed on the platform.

Limitation of Liability

To the fullest extent permitted by applicable law, Wellspace NW LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or related to these Terms or the platform shall not exceed the amount you paid to Flexspace in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Wellspace NW LLC, its officers, employees, and agents from any claims, damages, losses, or expenses — including reasonable legal fees — arising out of your use of the platform, your violation of these Terms, or your infringement of any third-party rights.

Account Termination and Data Deletion

Flexspace reserves the right to suspend or terminate any account that violates these Terms. Space owners may close their accounts at any time. Upon closure of a space owner account, all associated data — including renter data connected to that space — will be removed from our systems within 15 days.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms. For material changes, we will make reasonable efforts to notify active users.

Governing Law

These Terms are governed by the laws of the State of Washington, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Clark County, Washington.
